1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the Dialovo platform, website, related dashboards, forms, interfaces, features, and services (collectively, the "Service") provided by Dialovo, LLC ("Dialovo," "we," "our," or "us").
By accessing, browsing, registering for, or using the Service, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
If you use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity as well.
2. Description of the Service
Dialovo provides a cloud-based digital platform designed to help businesses create and manage visual phone menu experiences, routing interfaces, structured navigation flows, and related business communication tools.
The Service is intended to assist businesses in presenting menu-based routing options and business contact pathways in a modern web-based format. Dialovo is a software platform and interface layer. Dialovo is not a telecommunications carrier, telephone company, public utility, emergency communications provider, or guaranteed call delivery provider.
Dialovo does not guarantee call completion, successful routing, uninterrupted uptime, error-free operation, continuous availability, or compatibility with every third-party provider, system, browser, device, carrier, PBX, VoIP platform, or infrastructure environment.
The Service may evolve over time. We may modify, update, remove, suspend, or discontinue any portion of the Service, features, functionality, design, or availability at any time, with or without notice.
3. Eligibility and Account Registration
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create or administer an account.
You agree to provide accurate, current, and complete information when registering for the Service or submitting information through any account, onboarding, demo, or business contact form.
Dialovo may use third-party authentication services, including but not limited to Auth0, to manage login and identity verification. Authentication credentials, including passwords, may be handled by such third-party providers and not stored directly by Dialovo.
You are responsible for maintaining the confidentiality of your account credentials, restricting access to your account, ensuring your contact and organization information remains accurate, and all activity occurring under your account.
4. Plans, Packages, Billing, and Free Tier
Dialovo may offer multiple service plans, packages, or tiers, including but not limited to a free plan, paid subscription plans, upgraded feature plans, and custom or enterprise arrangements.
The free plan may include usage limits, feature limitations, volume thresholds, branding restrictions, support limitations, or other constraints determined by Dialovo in its sole discretion.
Paid plans may vary by features, support level, routing capabilities, customization rights, usage allowances, business scale, or other commercial criteria. Pricing, package names, included features, usage caps, and commercial terms may be updated from time to time.
Unless otherwise stated in a separate written agreement, all fees are stated in U.S. Dollars, fees are non-refundable except where required by law, paid subscriptions may renew automatically, and failure to pay may result in downgrade, suspension, or termination.
Dialovo reserves the right to change pricing, modify package structures, impose or revise usage limits, add or remove features by plan, discontinue a plan, or convert free features into paid features in the future.
5. Business Contact Forms and Submitted Information
Dialovo may provide website forms, including but not limited to business contact forms, support forms, demo request forms, package inquiry forms, onboarding forms, or other submission interfaces.
Depending on the form, users may submit information such as company name, full name, position or job title, business email address, phone number, request type, message details, and other business-related information voluntarily provided.
By submitting a form, you represent that the information provided is accurate to the best of your knowledge, you have the right to submit it, the content is lawful and not misleading, and the submission does not violate any third-party rights.
Dialovo may use submitted information to respond to inquiries, provide support, evaluate business interest, communicate about the Service, improve user and customer experience, maintain internal records, and support onboarding, account management, and service-related communications.
Dialovo does not sell, rent, or trade business contact information or form-submitted information to third parties for advertising resale or data brokerage purposes.
6. Customer Responsibility for Configuration and Use
You are solely responsible for all configurations, content, routing structures, menus, submenus, labels, call destinations, logic, phone numbers, departments, internal assignments, business hours, messages, and operational workflows created or managed within your use of the Service.
Dialovo is not responsible for incorrect routing logic, outdated phone numbers, broken business flows, missed calls, unanswered inquiries, misdirected users, loss of leads, customer dissatisfaction, or internal business errors caused by your configuration choices.
7. Acceptable Use
You agree not to use the Service in violation of applicable law, to submit false or unauthorized information, to infringe third-party rights, to transmit malicious code or harmful material, to interfere with the security or operation of the Service, or to use the Service for unlawful harassment, fraud, or deception.
Dialovo reserves the right to suspend or terminate access where we reasonably believe misuse, abuse, unlawful conduct, security risk, or material breach has occurred.
8. Third-Party Services and Dependencies
The Service may rely on third-party services, platforms, infrastructure providers, or integrations, including authentication providers, hosting providers, cloud infrastructure, analytics providers, communications platforms, external APIs, DNS or domain services, payment or billing providers, and other business software dependencies.
These third-party services operate independently under their own terms, privacy notices, availability commitments, and security practices. Dialovo does not control third-party systems and is not responsible for delays, outages, failures, data loss, performance issues, security incidents, or changes caused by third-party providers.
9. No Emergency or Mission-Critical Use
The Service is not designed, intended, or warranted for use in emergency communications, healthcare or medical response, public safety, dispatch services, financial transaction processing, life-support environments, mission-critical infrastructure, or other high-risk operational environments.
You acknowledge that the Service is a convenience and business workflow tool only. You are solely responsible for maintaining independent backup communication systems and operational contingencies.
10. Intellectual Property
Dialovo and its licensors retain all right, title, and interest in and to the Service, including all software, designs, layouts, interfaces, branding, documentation, features, visual structure, and related intellectual property rights.
Subject to these Terms, Dialovo grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business use.
11. Privacy
Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect information. By using the Service, you acknowledge the practices described in the Privacy Policy.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an "as is," "as available," and "with all faults" basis.
Dialovo disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, system availability, security, error-free operation, or results from use of the Service.
13. Limitation of Liability
To the maximum extent permitted by law, Dialovo, its affiliates, officers, members, employees, contractors, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, or business interruption.
To the maximum extent permitted by law, Dialovo's total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of USD $100 or the amount paid by you to Dialovo for the Service in the three months preceding the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Dialovo, its affiliates, officers, members, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your configurations or workflows, your submitted content or data, your violation of these Terms, your violation of applicable law, or your violation of any third-party rights.
15. Suspension and Termination
Dialovo may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if you violate these Terms, fail to pay applicable fees, your use creates legal, operational, or security risk, or we reasonably determine that continued access is inappropriate.
Termination does not affect any rights, obligations, disclaimers, limitations, payment obligations, or provisions intended to survive termination.
16. Dispute Resolution and Arbitration
Before initiating formal legal action, the parties agree to attempt informal resolution in good faith.
Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered under applicable American Arbitration Association rules and conducted on an individual basis only.
17. Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws principles.
18. Changes to These Terms
Dialovo may revise these Terms from time to time. Updated Terms become effective when posted unless otherwise stated. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
